1. Overview

Our products are intended for sale through licensed drug stores and pharmacies only. We do not permit resale through general retail, online marketplaces, independent sellers, or any other channel. Purchasing from us constitutes full acceptance of the terms in this policy, and we reserve the right to refuse or cancel any order we believe is placed in violation of these terms.

2. Authorized Resellers

​

Only licensed drug stores and pharmacies are permitted to resell our products. To become an authorized reseller, your business must hold a valid and current pharmacy or drug store operating license in your jurisdiction, contact us prior to placing any resale order to receive written authorization, and agree to the terms of this policy in full before any wholesale arrangement is confirmed. We maintain a list of authorized resellers and audit it periodically. Selling our products without written authorization from us is a violation of this policy regardless of the channel used.

3. Pricing Rules — Maximum Markup

​

Authorized resellers may mark up our products by no more than 30% to 60% above the wholesale price paid to us. This means if you purchase a product from us at a wholesale price of $10, the maximum you may charge the end consumer is between $13.00 and $16.00 depending on your agreed markup tier. Pricing above this threshold constitutes price gouging and is a direct violation of this policy. We set this limit to ensure our products remain accessible and fairly priced for the customers who need them.

Resellers found to be pricing above the permitted ceiling will be contacted and required to correct their pricing immediately. Failure to comply will result in the termination of the reseller relationship and refusal of all future wholesale orders.

4. Jurisdiction & Regulatory Compliance

​

The 30% to 60% maximum markup permitted under Section 3 represents our internal policy ceiling and applies at all times, including during periods of high demand, supply disruption, or declared public health emergencies. However, authorized resellers are responsible for ensuring their pricing also complies with all applicable federal, state, and local laws in every jurisdiction in which they operate.

In the State of New York, resellers are specifically advised that New York General Business Law § 396-r prohibits the charging of unconscionably excessive prices for essential goods and services during any abnormal disruption of the market, including public health emergencies. Our 30–60% markup ceiling is designed to operate within the bounds of this law, but resellers must independently assess their compliance obligations. Where state or local law imposes a stricter limit than our internal ceiling, that stricter legal standard takes precedence and must be followed.

We are not liable for any regulatory penalties, fines, or legal consequences arising from a reseller's failure to comply with applicable pricing laws. Authorized resellers are strongly advised to consult qualified legal counsel in their jurisdiction to confirm that their pricing practices meet all current legal requirements. Any reseller found to be in violation of applicable price gouging laws — regardless of whether their markup falls within our internal ceiling — may have their authorization revoked at our discretion.

5. Prohibited Resale Channels

​

Even for authorized drug store resellers, the following are strictly prohibited without our separate express written consent: selling our products through online marketplaces such as Amazon, eBay, or any third-party platform; listing our products on auction or discount liquidation sites; transferring or supplying our products to any other business or individual for further resale; and selling outside of the physical drug store location specified in the reseller agreement.

6. No Rebranding or Misrepresentation

​

Our products may not be relabeled, repackaged, or sold under any name other than our own. Authorized resellers must display our branding, labeling, and product information exactly as provided. Removing, obscuring, or altering any identifying marks is a violation of this policy and may constitute fraud under applicable law.

7. Bulk Orders & Order Monitoring

​

We monitor wholesale order patterns and reserve the right to flag, hold, or cancel orders that appear inconsistent with a reseller's normal sales volume or that suggest onward resale to unauthorized parties. If you anticipate a significantly larger order than usual, please notify us in advance so we can accommodate it appropriately.

8. Warranty & Customer Support

​

Our warranty and refund policies apply only to end consumers purchasing from authorized drug store locations. Consumers who purchase our products through any unauthorized reseller are not covered by our warranty and we cannot take responsibility for the authenticity, condition, or handling of those products. 9. Enforcement

​

Violations of this policy — including selling through unauthorized channels, exceeding the permitted price markup, or supplying our products to unauthorized parties — will result in immediate termination of the reseller agreement, refusal of all future wholesale orders, recovery of any outstanding wholesale stock where possible, and legal action where warranted. We take these terms seriously and enforce them consistently.
